Selling your business by owner

Most small businesses are valued on cash flow. For owner-operated companies, buyers usually start with seller’s discretionary earnings (SDE) — profit plus the owner’s salary and one-time or personal expenses — and apply a multiple that reflects risk, growth and how dependent the business is on you.

Step What to prepare
Valuation Three years of P&Ls, tax returns, SDE add-backs
Teaser listing Industry, region, revenue range — no name
Buyer qualification NDA, proof of funds or lender pre-qualification
Letter of intent Price, structure, timeline, exclusivity
Due diligence Financials, contracts, leases, licenses, staff
Closing Purchase agreement, transition plan, any seller note

Many deals combine a bank loan (often an SBA 7(a) loan) with a seller note. Read the full guide to selling a business by owner and bring in a CPA and a business attorney for structure and taxes.

Confidential by default

Your ByOwners listing can stay anonymous — industry, region and financial ranges only — until you approve a buyer and they sign an NDA. Inquiries come to us first, so your staff and customers don’t find out from a public ad.
